Deal done! Qivive assists Nutrisens in Germany

Qivive successfully assisted Nutrisens SAS in its external growth project in Germany.

This project involved the acquisition of shares in German company vitasyn medical GmbH, a German expert in clinical nutrition for nephrology and oncology.

Founded in 2011 by Georges Devesa, the Nutrisens Group is a European multi-specialist in pathologies, offering oral and enteral nutritional solutions tailored to each therapeutic area. With this acquisition, Nutrisens is gaining a foothold in Germany while continuing its European expansion. The merger with vitasyn medical was a natural step in its plans for growth in Germany. One of the main reasons for this choice was the similarities between the two companies and the pursuit of common commercial objectives. Nutrisens will benefit from vitasyn medical's expertise and know-how in new therapeutic areas and vitasyn medical will be able to take advantage of the strategic levers of the Nutrisens Group's management to pursue its organic growth in Germany.

The legal aspects (due diligence, SPA, signing before a notary, closing, drafting of ancillary agreements) were led by Jan Westhues and jointly supported by Dr. Christophe Kühl and Johanna Sahbatou (corporate law), Fabian Neugebauer, Audrey Bouffil (labour law), Gordian Deger, Dr. Christine Beneke and Carla Liehr (contract law). Tax and Financial Transaction Services were provided by Eight Advisory, Frankfurt (Michael Wahl and Matthias Hogh).
